如何获得菲律宾特别投资居留签证(SIRV)

The Special Investor’s Resident Visa (SIRV) is a visa issued by the Bureau of Immigration through the Board of Investments (“BOI”) pursuant to the provisions of the Omnibus Investments Code of 1987. The SIRV is a special non-immigrant visa that entitles the holder to reside in the Philippines for an indefinite period as long as the required qualifications and investments are maintained.

特别投资者居留签证（SIRV）是移民局通过投资局（“BOI”）根据1987年综合投资法条例签发的一种签证。特别投资居留签证是一种特殊的非移民签证，只要SIRV规定的资格条件和投资还存在，持有者就可以不限期居住在菲律宾。

A Probationary SIRV is valid for six (6) months while the Indefinite SIRV is valid so long as the visa holder maintains the required investment in the Philippines.

临时SIRV有效期为六（6）个月，而不限期SIRV只要签证持有者在菲律宾有规定的投资就一直有效。

A foreigner who is at least twenty-one (21) years of age, who has not been convicted of a crime involving moral turpitude, has not been afflicted with any loathsome, dangerous or contagious disease, has not been institutionalized for any mental disorder or disability, and who is willing and able to invest the amount of at least US$75,000.00 in covered investments, is eligible to apply for the SIRV.

外籍申请人需满21岁，无犯罪记录或反公德行为，没有患任何令人厌恶的、危险的或传染的疾病，无任何心理障碍或残疾，并且愿意和能够投资至少75,000.00美金，才有资格申请SIRV。

In order to secure the SIRV, the foreigner must deposit the amount of at least US$75,000.00 into Peso Time Deposit for a minimum maturity period of 30 days and a maximum maturity period of 180 days with either Land Bank of the Philippines (LBP); OR Development Bank of the Philippines (DBP).

为了确保SIRV成功申请，外籍人士须在菲律宾地产银行（LBP）或菲律宾开发银行（DBP）存入比索等值至少75,000.00美金的30天至180天的定期存款。

The investor shall have one hundred eighty (180) days from date of issuance of probationary visa to convert the deposit into an investment in an eligible domestic enterprise and report such investment to the BOI.

投资者须自临时签证签发之日起一百八十（180）天内，将存款转换为在符合条件的菲律宾企业的投资，并向BOI报告。

For purposes of securing an SIRV, only investments or shares of stocks in existing, new or proposed corporations shall be allowed as eligible forms of investment:

为了确保成功申请SIRV，仅在现有的、新成立的或计划成立的公司的投资或股份才是被允许的合格投资形式：

1. Publicly- listed companies上市公司
2. Companies engaged in areas listed in the Investment Priorities Plan (IPP) of the Board of Investments. 从事投资局的投资优先计划（IPP）中列出的领域的公司
3. Companies engaged in the manufacturing and services sectors从事制造业和服务业公司
It bears emphasis that ownership of shares of stock in corporations engaged in wholesale trading shall not be allowed. 需注意的是批发贸易公司股份的所有权不是合格投资形式。

Requirements for Application of the Probationary SIRV

申请临时SIRV的要求
1. BOI Form SIRV-001A for Principal applicantBOI主申请人填写SIRV-001A表格
2. Signed and notarized Deed of Undertaking确认并签订承诺协议
3. Accomplished Personal History Statement Form完成个人履历声明表
4. Police Clearance issued abroad translated into English and duly authenticated by Philippine Embassy/Consulate or译成英文的境外出具的无犯罪证明，并由菲律宾大使馆/领事馆认证
5. Clearance from the Interpol Division of the National Bureau of Investigation (NBI) issued in the Philippines valid for 6 months菲律宾国家调查局（NBI）国际刑警组织出具的有效期6个月的证明
6. Medical Certificate (Authenticated by the Bureau of Quarantine of the Phil. Department of Health) valid for 6 months有效期6个月的医疗证明（由菲律宾检疫局卫生部认证）
7. Birth Certificate / Family Registry / Household Registry duly authenticated by Philippine Embassy/Consulate通过菲律宾大使馆/领事馆认证的出生证明/家庭登记/户籍

8. Marriage Contract (if applicable), duly authenticated by Philippine Embassy/Consulate由菲律宾大使馆/领事馆正式认证的婚姻契约（如适用）
9. Proof of Inward Remittance from Development Bank of the Philippines (DBP) – Head Office or Land Bank of the Philippines -Sen. Gil J. Puyat Ave. (Buendia) Branch菲律宾开发银行（DBP）总行或菲律宾地产银行Sen. Gil J. Puyat大道(Buendia) 支行开具的汇入汇款证明。
10. Bureau of Immigration (BI) fee of P10,110.00 移民局（BI）收取P10,110.00费用

Requirements for Conversion of Time Deposit to Investment

定期存款转化为投资的要求
1. Letter of Intent意向书
2. Processing Fee of P1,000.00 P1,000.00的手续费
3. For investment in new corporation, a signed and notarized duplicate copies of the Articles of Incorporation and By-Laws; 投资新公司需要，签字公正过的公司章程及附则一式两份;
4. For investment in existing corporation: 投资现有的企业
• Certified true copies of the Articles of Incorporation, By-Laws and SEC Certificate of Registration. 公司章程真确副本、附则和美国证监会注册证书。
• Latest Audited Financial Statement and list of latest officers and directors最新经审计的财务报表和最新职员和董事名单
• Notarized Corporate Secretary’s Certificate stating that the purchase of shares of stock by the Applicant shall not violate the 40% limitation on ownership by foreigners in nationalized areas. 经公证的法团秘书的证明，证明申请人购买的股份不违反在国有化领域外籍人士所有权不超过40％的规定。
• Waiver of pre-emptive rights of existing stockholders现有股东放弃股份的优先购买权
• Certified true copy of the SEC Resolution authorizing the issuance of shares from the unsubscribed portion and exempting said shares from the registration required by the Revised Securities Act, if the shares to be acquired will come from the unsubscribed portion of the corporation’s authorized capital stock. 美国证监会决议正本，可授权公司发行未认购部分的股份，且如果收购的股份来自该公司的法定股本中未认购部分，则对上述股份豁免《证券管理条例修改案》要求的注册。
• If the shares were purchased from an existing stockholder, the purchase price shall not exceed 10% of its current book value. 如果股票是购自于现有股东，购买价格不得超过其当前股本净值的10％

Furthermore, the following must also be submitted: notarized Secretary’s Certificate stating that the stockholder selling the shares is a stockholder of record owning the certain amount of shares and that said shares are free from any lien, encumbrance and are not subject to set-off; certified true copy of the Stock Certificate issued to the selling stockholder; and Deed of Assignment between the buyer and the seller of the stock certificate.

此外，还须提交以下文件：公证司的证书，声明出售股份的股东是拥有该数额股票的股东，且上述股份没有设定任何留置权、抵押权，不作为抵销；发给股东的股票证书的真确副本;买方和卖方之间的股权证的转让协议。

5. For investment in shares in publicly-listed corporations, a sworn certification of the stock broker. 若投资公开上市公司的股票，则需证券经纪人的宣誓认证。

请问层主目前是在菲律宾吗？曾经看过一篇中国大陆的一个老外A 骂其他老外的事情，因为有一些工作生活在中国老外说中国怎么怎么不好，怎么怎么烂，老外A就看不惯了，你既然觉得中国不好，中国烂，那你就不要待在中国，就不要生活在中国。就不要挣着中国的钱，养活着自己，甚至家人，却还骂中国不好，所以请你滚出中国， 这个笑死我了！层主怎么看？
